These Terms & Conditions (“Terms”) govern your access to and use of the Syszel website and any inquiry, audit, consultation, proposal, or related service offered through it. “Syszel,” “we,” “us,” and “our” refer to Syszel, operated by Zelle Jeremias in the Philippines. By using this website, you agree to these Terms. If you do not agree, please do not use the website.
1. Website purpose
This website provides general information about operational consulting, systems implementation, process design, documentation, automation, and related services for businesses. Website content is informational and does not create a consultant-client relationship, guarantee availability, or constitute a binding offer.
2. Eligibility and acceptable use
You must have legal capacity to enter into an agreement and, when acting for a company, authority to bind that company. You agree not to misuse the website, interfere with its operation, attempt unauthorized access, introduce malicious code, scrape or reproduce content at scale, impersonate another person, or use the website for unlawful, fraudulent, or harmful purposes.
3. Systems audits and inquiries
Booking a call or sending an inquiry does not guarantee acceptance as a client. We may decline or reschedule a request when appropriate. You are responsible for providing accurate information and for avoiding confidential, regulated, or unnecessary personal data in initial inquiries.
4. Consulting engagements
Paid services are governed by a separate written proposal, statement of work, service agreement, or invoice accepted by both parties. That agreement will control if it conflicts with these website Terms. Scope, deliverables, fees, payment schedules, timelines, revision limits, client responsibilities, access requirements, and termination terms are confirmed separately for each engagement.
5. Client responsibilities
Successful implementation depends on timely access, accurate information, stakeholder participation, feedback, approvals, and team adoption. You remain responsible for business decisions, legal and regulatory compliance, account security, backups, and reviewing any workflow, automation, documentation, or configuration before relying on it in production.
6. Third-party platforms
Our work may involve third-party products such as ClickUp, GoHighLevel, Google Workspace, Notion, automation providers, calendar services, or AI tools. Those products are governed by their own terms, privacy practices, pricing, availability, and technical limits. We do not control and are not responsible for a third party’s outage, change, data handling, account restriction, or discontinuation.
7. Intellectual property
The website, Syszel brand, visual design, copy, methods, templates, and other original materials are owned by or licensed to Syszel and are protected by applicable intellectual-property laws. You may view and use the website for legitimate business evaluation, but may not copy, sell, publish, modify, distribute, or create derivative works without written permission.
Ownership and permitted use of client-specific deliverables are defined in the applicable service agreement. Pre-existing tools, frameworks, know-how, and reusable components remain the property of their original owner unless expressly assigned in writing.
8. Testimonials and results
Testimonials describe individual experiences and do not guarantee that every client will achieve the same result. Outcomes depend on factors including the client’s starting point, implementation, participation, team, offer, market, and decisions. Any revenue, efficiency, capacity, or growth references are illustrative, not promises.
9. No warranties
To the fullest extent permitted by law, the website and its content are provided “as is” and “as available.” We do not warrant that the website will be uninterrupted, error-free, secure, or suitable for a specific purpose. 10. Limitation of liability
To the fullest extent permitted by law, Syszel and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from website use. For website-related claims not governed by a separate service agreement, our aggregate liability will not exceed the amount you paid us for the specific website-related service giving rise to the claim, or PHP 5,000 if no payment was made. Nothing in these Terms excludes liability that cannot legally be excluded.
11. Indemnity
To the extent permitted by law, you agree to indemnify and hold Syszel harmless from third-party claims, losses, and reasonable costs arising from your unlawful misuse of the website, violation of these Terms, or infringement of another person’s rights.

13. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines. The parties will first attempt in good faith to resolve a dispute through written discussion. If it cannot be resolved, disputes will be submitted to the courts with jurisdiction in Caloocan City, Philippines, unless mandatory law requires otherwise.
14. Changes and severability
We may update these Terms by posting a revised version and changing the effective date. Continued use after an update means you accept the revised Terms. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
